U OF U PLUS OFFICIAL RULES FOR CONTESTS AND SWEEPSTAKES

These are the official rules (“Official Rules”) of contests and sweepstakes (‘U of U Plus Contests/Sweepstakes”) presented on or through the U of U Plus platform at UofUplus.com and related mobile software applications (the "U of U Plus Platform" or “Platform”), by the University of Utah ( "University," "we" or “us”) and its sponsors (”Sponsors”).

NO PURCHASE IS NECESSARY TO ENTER OR WIN ANY U OF U PLUS CONTESTS/SWEEPSTAKES AND MAKING A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. PARTICIPATION IN U OF U PLUS CONTESTS/SWEEPSTAKES IS VOID WHERE PROHIBITED BY LAW.

1. DESCRIPTION: U of U Plus Contests/Sweepstakes will have specified start dates/times and end dates/times (the "Promotion Period").

The Sponsors of each U of U Plus Contest/Sweepstakes will be identified as such by name. By participating in the U of U Plus Contests/Sweepstakes, you unconditionally accept and agree to comply with and abide by these Official Rules, the additional rules applicable to each individual U of U Plus Contest/Sweepstakes, if any (the “Additional Rules”), and the decisions of the University and Sponsor, which shall be final and binding in all respects. In the event of any conflict between these Official Rules and Additional Rules, such Additional Rules shall apply. The University and Sponsor are responsible for the collection, submission or processing of entries to the U of U Plus Contests/Sweepstakes (“Entries”) and the overall administration of the U of U Plus Contests/Sweepstakes. This promotion is in no way sponsored, endorsed or administered by, or associated with Facebook, Twitter, Youtube, Pinterest, LinkedIn, Apple or Google. You understand that you are providing your information to the University and Sponsors of this sweepstakes and not to Facebook, Twitter, Youtube, Pinterest, LinkedIn, Apple, or Google.

2. ELIGIBILITY: Except as otherwise provided in any Additional Rules, U of U Plus Contests/Sweepstakes are open only to legal residents of the United States who are at least eighteen (18) years of age, are registered users of the U of U Plus Platform, and expressly agree to these Official Rules and all Additional Rules (“Participants”), provided that; officers, directors, employees and agents of Sponsor, the University, and U of U Plus Platform vendors (the "Promotion Entities"), and Household Members and Immediate Family Members of each (“Excluded Users”) are not eligible to enter the U of U Plus Contests/Sweepstakes or win a prize. "Household Members" shall mean those people who share the same residence at least three months a year; "Immediate Family Members" shall mean parents, step-parents, legal guardians, children, step-children, siblings, step-siblings, or spouses. Each of the U of U Plus Contests/Sweepstakes and eligibility for same is subject to all applicable federal, state and local laws and regulations and is void where prohibited or restricted by law.

3. PRIZES: Prizes will be identified separately for each of the individual U of U Plus Contests/Sweepstakes. Unless otherwise indicated in any Additional Rules, only one prize per person and per household will be awarded. Gift cards and gift certificates that may be awarded as prizes are subject to the terms and conditions of the respective issuers. Prizes cannot be transferred, redeemed for cash or substituted by winner. U of U Plus Contests/Sweepstakes Sponsors reserve the right, in their sole and absolute discretion, to award substitute prizes of equal or greater value if a prize identified in a particular U of U Plus Contest/Sweepstakes is unavailable or cannot be awarded, in whole or in part, for any reason. The value of any prize represents Sponsor's good faith determination, which is final and binding and cannot be appealed. Sponsors make no representation or warranty concerning the appearance, safety or performance of any prize awarded. Restrictions, conditions, and limitations may apply. Sponsors will not replace any lost or stolen prize items.

Except as otherwise provided in any Additional Rules, prizes will only be awarded and/or delivered to addresses within the United States. All federal, state and/or local taxes, fees, and surcharges are the sole responsibility of the prize winner. Failure to comply with the Official Rules will result in forfeiture of prizes.

4. HOW TO ENTER: Except as otherwise provided in any Additional Rules, Participants may enter each U of U Plus Contest/Sweepstakes during the applicable Promotion Period by engaging with content on the U of U Plus Platform, which can be found at UofUplus.com, or via the U of U Plus mobile application.

Except as otherwise provided in any Additional Rules, each Entry must be made personally by the Participant, and automated or robotic Entries submitted by individuals or organizations will be disqualified. Any attempt by a Participant to make, obtain or secure more than the permitted number of Entries in any individual U of U Plus Contest/Sweepstakes by using multiple/different email addresses, identities, registrations, logins or any other methods, including, but not limited to, commercial contest/sweepstakes subscription notification and/or entering services, will void such Participant's Entries and that Participant may be disqualified from that and future U of U Plus Contests/Sweepstakes. All Entries must be posted by the end of the Promotion Period in order to be considered, and the University or its designated representative will be the official timekeeper for their respective U of U Plus Contests/Sweepstakes.

Except as otherwise provided in any Additional Rules, all Entries and information therein submitted in connection with each U of U Plus Contest/Sweepstakes (collectively, "Entry Materials"), together with all copyright, trademark and other proprietary rights associated therewith, will become the property of the University upon submission.

5. WINNER SELECTION: Except as otherwise provided in any Additional Rules, the winner(s) of each U of U Plus Contests/Sweepstakes will be determined as follows:

(i) In the case of sweepstakes, the winner(s) will be selected by random drawing from among all eligible Entries received throughout the Promotion Period, which random drawing will be conducted after the Promotion Period by the University or its designated representative, whose decision(s) in selecting/identifying the winner(s) are final. The odds of winning such sweepstakes will vary depending on the number of eligible Entries received.

(ii) In the case of contests, the winner(s) will be selected according to the criteria set forth in the Additional Rules for each such contest, as determined by the University or its designated representative, in their sole and complete discretion, whose decision(s) in selecting/identifying the winner(s) are final.

In all instances, final eligibility for the award and receipt of any prize is subject to eligibility verification as set forth below.

6. WINNER NOTIFICATION/CONFIRMATION: Except as otherwise provided in any Additional Rules, each winning Participant will be notified by email at the email address provided in that Participant’s Entry within approximately five (5) business days of the selection of the winner(s) as described above. Except as otherwise provided in any Additional Rules, each potential prize winner must confirm eligibility and acceptance of her/his prize by email, as directed by the University or its designated representative within 5-10 business days of notification. Neither the University nor its designated representative is responsible for any delay in or failure to receive notification from any potential prize winner for any reason, including without limitation inactive email account(s), technical difficulties associated therewith, or any potential prize winner’s failure to adequately monitor any email account.

Any notification of winning to which no response is received or which is returned as undeliverable may result in forfeiture of the prize. The potential prize winner may be required to execute and return an affidavit of eligibility, release of liability and/or a publicity release (collectively, "Prize Claim Documents"). No substitution or transfer of a prize is permitted except by the University or its designated representative.

7. PRIVACY: Except as otherwise provided in any Additional Rules, any personally identifiable information (“PII”) supplied by Participants will be subject to the U of U Plus Privacy Policy posted at http://UofUplus.com/. By entering any U of U Plus Contests/Sweepstakes, each Participant grants the the University, its designated representative, and its U of U Plus Platform vendors permission to share Participant’s email address and other PII with third parties engaged for purposes of U of U Plus Contests/Sweepstakes administration and prize fulfillment, and to use same in publicly available lists of U of U Plus Contests/Sweepstakes winners, which may be posted on the U of U Plus Platform and otherwise disseminated by or through the University and Sponsors.

8. RESULTS: To request a winners list for a U of U Plus Contest/Sweepstakes, Participants may send a self-addressed, stamped envelope to: 2113 SE 101st Ave, Vancouver, WA 98664. Such requests must be received within three (3) weeks of the end of the Promotion Period for the U of U Plus Contest/Sweepstakes.

9. SOCIAL MEDIA DISCLAIMER: Participants may register on or access the U of U Plus Platform or prepare or submit an Entry for a U of U Plus Contest/Sweepstakes using a social media account (e.g., a Facebook account). U of U Plus Contests/Sweepstakes are in no way sponsored, endorsed or administered by, or associated with any such social media platform, nor is any such media platform in any way sponsored, endorsed or administered by, or associated with the University or any Sponsor. Participants who choose to participate in any U of U Plus Contest/Sweepstakes via such a social media platform may also be subject to such social media platform’s privacy policy, terms of use and the like.

10. RELEASE & LIMITATIONS OF LIABILITY: By participating in a U of U Plus Contest/Sweepstakes, each Participant agrees to release and hold harmless the University, the State of Utah, including its Utah Board of Regents, and Sponsors and each of their affiliates, subsidiaries, officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the U of U Plus Contests/Sweepstakes or receipt or use of any prize therefrom, including, but not limited to: (a) any error that may prevent a entrants from submitting Entries; (b) unauthorized intervention in the U of U Plus Contests/Sweepstakes; (c) printing or typographical errors in materials associated with the U of U Plus Contests/Sweepstakes; (d) lost or late Entries; (e) errors in the administration of the U of U Plus Contests/Sweepstakes or the processing of Entries; (f) alleged or actual violations of rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional; (g) telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures; or (h) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the U of U Plus Contests/Sweepstakes or receipt of any prize, whether under a theory of contract, tort (including negligence), warranty or otherwise.

Participant acknowledges and agrees that the University and Sponsors assume no responsibility or liability for (a) any incomplete, incorrect or inaccurate information in any Entries, form or Entries, or for any faulty or failed transmission(s) of same; (b) any unauthorized access to, or theft, destruction or alteration of any Entries form or Entries or any information therein; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, camera, computers or providers utilized in any aspect of the operation of the U of U Plus Platform or any U of U Plus Contests/Sweepstakes; (d) any inaccessibility or unavailability of the U of U Plus Platform or any network or wireless service, the Internet, any wireless or landline telephone service, any website or any combination thereof; or (e) any harm or damage to Participant's or any other person’s computer or mobile device which may be related to or resulting from any attempt to participate in the U of U Plus Contests/Sweepstakes or to access or download any materials related to any U of U Plus Contests/Sweepstakes.

Participant further agrees that in any cause of action, the Released Parties’ liability will be limited to the out-of-pocket cost to Participant of entering and participating in the U of U Plus Contests/Sweepstakes, and in no event shall the Released Parties be liable for attorney’s fees. Participant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.

IF PARTICIPANT IS A CALIFORNIA RESIDENT, PARTICIPANT WAIVES CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH, IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR” (OR ANY EQUIVALENT STATUTORY PROVISION WITH A SIMILAR IMPORT OR INTENT). IF PARTICIPANT IS A RESIDENT OF A STATE OTHER THAN CALIFORNIA, PARTICIPANT EXPLICITLY WAIVES THE TERMS AND PROTECTIONS OF ANY STATUTE OF HIS/HER STATE THAT HAS A SIMILAR IMPORT OR INTENT.

11. CANCELLATION, TERMINATION, SUSPENSION: If, for any reason, any U of U Plus Contest/Sweepstakes is not capable of running or operating as planned, for reasons which may include, without limitation, infection by malware or computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of any U of U Plus Contest/Sweepstakes, the University and Sponsor reserve the right, at their sole discretion, to cancel, terminate, modify or suspend such U of U Plus Contest/Sweepstakes, in whole or in part. In such event, the University and Sponsor shall immediately suspend all drawings, selections and prize awards, provided further that; in such event, the University and Sponsor reserve the right to award any remaining prizes in a manner deemed fair and equitable by the University and Sponsor, in their sole discretion. Sponsor and Released Parties shall not have any further liability to any participant in connection with the U of U Plus Contests/Sweepstakes.

12. SEVERABILITY: These Official Rules are severable, and if any portion is determined to be invalid or unenforceable by a body of competent jurisdiction, the remaining portions will remain valid, enforceable and in effect to the fullest extent consistent with applicable law.

13. GOVERNING LAW; DISPUTES: The U of U Plus Contest/Sweepstakes, including these Official Rules and any Additional Rules, shall be governed under the laws of the State of Utah, without regard to conflicts of law principles to the contrary.

Any controversy, claim or dispute arising out of any U of U Plus Contest/Sweepstakes, including these Official Rules and any Additional Rules (and further including, without limitation, arising from any Participant’s dealings with Sponsors for products and/or services promoted in, awarded in, linked or otherwise associated with such U of U Plus Contest/Sweepstakes) (collectively, “Claims”) shall be adjudicated in the state and federal courts located in Salt Lake County, Utah and Participants expressly consent to the exercise of jurisdiction of such courts and waive any objection based upon venue therein. In addition to the above, Participants waive any right to bring any Claim as a class action, consolidated, multi-district or collective action, or private attorney general action and agree not to participate in any such proceeding regarding any Claim. Participant further agrees that any action brought against the University shall be subject to the terms, conditions, and limitations of the Utah Governmental Immunity Act, Utah Code § 63G-7-101 et seq. ("Act”) Nothing herein shall be construed to be a waiver by the University of any protections, rights, or defenses applicable to University under the Act, including without limitation, the provisions of Section 63G-7-604 regarding limitation of judgments. It is not the intent of the University to incur by contract any liability for the operations, acts, or omissions of the other party or any third party and nothing herein shall be so interpreted or construed.

If the University or Sponsor prevails in any legal proceeding against a Participant hereunder, it shall be entitled to recover, in addition to all other available legal and equitable relief, its legal costs, including attorneys’ fees.
